1. Scope and acceptance
1.1 These Terms of Use apply to the Z Advisory website, publicly available digital resources, the Business Health Check and other online features made available by Z Advisory.
1.2 By accessing or using the website or a digital service, you agree to these Terms. If you do not agree, you should not use the relevant service.
1.3 These Terms do not by themselves replace a proposal, statement of work, engagement letter or other written agreement for paid consulting or project services.
2. About Z Advisory
2.1 Z Advisory provides business advisory and technology-enabled services including Digital Presence, Business Intelligence, reporting, process improvement, automation, Business Transformation, ESG and sustainability support, research and diagnostic tools.
2.2 The exact scope, deliverables, assumptions, dependencies, fees and timing for a client project will be described in the relevant proposal or engagement document.
3. Permitted website use
3.1 You may use the website for lawful personal or business purposes and to learn about Z Advisory, access published resources, submit an enquiry or complete available assessments.
3.2 You must not attempt to disrupt the website, bypass security, introduce malicious code, scrape or reproduce substantial website content unlawfully, impersonate another person, misuse forms, or use our services in a manner that infringes the rights of others.
4. Business Health Check
4.1 The Business Health Check is an indicative diagnostic tool based on information supplied by the participant, scoring logic, methodology and assumptions used at the time.
4.2 Scores, bands, benchmarks, observations and recommendations are intended to support discussion and prioritisation. They are not an audit, assurance engagement, certification, valuation or regulated professional opinion.
4.3 You are responsible for the accuracy and completeness of information submitted. Different inputs, incomplete information or changes in circumstances may produce different outcomes.
5. Client responsibilities
5.1 For paid engagements, clients are responsible for providing timely, lawful and accurate information, access, approvals and decisions reasonably required for delivery.
5.2 A client supplying personal information or third-party confidential information represents that it has authority or another lawful basis to provide that information for the agreed purpose.
5.3 Clients remain responsible for business decisions and for obtaining specialist legal, taxation, accounting, financial, employment, cybersecurity or other regulated advice where required.
6. Client Data and credentials
6.1 Ownership of pre-existing Client Data remains with the client or relevant rights holder. The client grants Z Advisory a limited right to access, copy, transform and use Client Data as reasonably necessary to perform the agreed services.
6.2 Where system credentials are required, clients should provide the least-privileged access reasonably necessary and revoke or rotate credentials when access is no longer required.
6.3 Z Advisory may use de-identified or aggregated information for internal improvement, methodology development and research where permitted by the engagement and applicable law.
7. Intellectual property
7.1 Z Advisory retains ownership of its pre-existing intellectual property, methodologies, frameworks, templates, scoring approaches, know-how, code libraries, general-purpose components and tools unless otherwise agreed in writing.
7.2 Rights in custom deliverables will be governed by the relevant engagement document. Where no special arrangement is stated, payment for a deliverable does not automatically transfer ownership of Z Advisory's underlying tools or pre-existing intellectual property incorporated into it.
7.3 Website content, branding and original materials may not be reproduced commercially without permission except as allowed by law.
8. Third-party platforms and software
8.1 Services may depend on third-party software, hosting, APIs, analytics, cloud platforms, domain registrars, content-management systems, automation tools or AI services.
8.2 Third-party availability, functionality, pricing, terms, security settings and APIs may change without Z Advisory's control. Unless expressly included in an engagement, Z Advisory is not responsible for a third party's independent acts, outages, account restrictions or product changes.
8.3 Clients are responsible for third-party subscription, licence and transaction costs unless a proposal states otherwise.
9. AI-assisted services
9.1 Z Advisory may use AI-assisted tools to support research, classification, analysis, drafting, coding, summarisation or reporting.
9.2 AI outputs may contain inaccuracies or omissions. They must not be treated as independently verified facts or professional advice merely because they were generated by an automated system.
9.3 Where AI use is material to a client engagement, the applicable scope, client requirements and information-sensitivity constraints may be addressed in the engagement documentation.
10. Fees, changes and delivery
10.1 Fees, payment terms, taxes and included deliverables for paid work will be stated in the relevant quote, proposal or agreement.
10.2 Work outside agreed scope may require a variation, revised estimate or additional fees.
10.3 Delivery dates may depend on client inputs, approvals and third parties. Unless expressly agreed as a fixed contractual deadline, project dates are reasonable estimates and may be adjusted when dependencies change.
11. Service-specific terms
11.1 Digital Presence
Z Advisory does not guarantee a particular search ranking, traffic level, conversion rate, enquiry volume or commercial outcome. Website performance may depend on hosting, content, competition, search-engine changes and client actions.
11.2 Business Intelligence
Reports and dashboards depend on source-data accuracy, agreed definitions and system availability. Clients should validate material figures before using them for statutory, financial or high-impact decisions.
11.3 Business Transformation and automation
Process recommendations and automated workflows may depend on assumptions, third-party systems, integrations and ongoing configuration. Clients are responsible for governance, approvals and operating controls after implementation unless ongoing support is expressly included.
11.4 ESG and sustainability
ESG services do not constitute independent assurance, certification, audit or legal compliance verification unless specifically contracted and Z Advisory is appropriately authorised or qualified for that work.
12. Australian Consumer Law
12.1 Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy that cannot lawfully be excluded under the Australian Consumer Law or another applicable law.
12.2 Information about consumer guarantees is available from the Australian Competition and Consumer Commission (ACCC).
13. Liability
13.1 To the maximum extent permitted by law, Z Advisory is not liable for indirect, incidental, special or consequential loss arising solely from reliance on general website information, free diagnostic outputs or events outside its reasonable control.
13.2 Any limitation applying to paid services will be governed by the relevant engagement terms and applicable law. Nothing in these Terms limits liability that cannot lawfully be limited.
14. Suspension and termination
14.1 Z Advisory may restrict or suspend access to website features where reasonably necessary for security, maintenance, legal compliance or misuse prevention.
14.2 Termination rights for paid engagements will be set out in the relevant agreement. Accrued rights and obligations intended to survive termination, including confidentiality, intellectual property and payment obligations, may continue.
15. Governing law and contact
15.1 These website Terms are governed by the laws of Western Australia and applicable Commonwealth laws of Australia. You submit to the courts having jurisdiction in Western Australia, subject to any mandatory legal rights that apply elsewhere.
